- MaterialPro Technology Limited, Unit 619B, 6/F, Tower B, New Mandarin Plaza, 14 Science Museum Road, Tsim Sha Tsui, Hong Kong
By using the Service, you agree to be bound by these Terms. If you don’t agree with any part of them, please don’t use the Service.
A Data Processing Addendum is available on request: dpo@materialpro.io
1. About the Service
MaterialPro is a materials procurement platform built for construction teams. It brings purchase orders, quote comparison, inventory tracking, invoice processing, and delivery management into one place. The Service is delivered as software-as-a-service (SaaS) and is accessed through a web browser on your computer or phone.
2. Accounts and Security
- Provide accurate, complete, and up-to-date information when you create your account.
- You’re responsible for keeping your credentials secure, including passwords and any access tokens.
- Tell us right away if you suspect any unauthorized use of your account.
- Each account is for a single organization and may not be shared across organizations.
- We may suspend or terminate accounts that violate these Terms.
3. Subscriptions and Payment
3.1 Plans
The Service is offered on a subscription basis. You’ll find the full breakdown of plans and features on our pricing page. We may change plans and pricing at any time, and we’ll give existing subscribers advance notice before any changes take effect.
3.2 Payment Terms
- Self-serve subscriptions are billed in US dollars (USD). Prices exclude applicable taxes; the amount and billing period are shown at checkout. Sales-managed subscriptions follow your written agreement. Procurement document currencies are separate from the subscription billing currency.
- Payments are processed securely through Stripe.
- New subscriptions are billed annually in advance; subscriptions already on a monthly period keep it until the plan is changed. Subscriptions renew automatically unless canceled before renewal. Checkout displays the amount and period.
- Overdue payments may result in suspension of the Service.
3.3 Refunds
No subscription fee is charged until you activate a paid subscription. Any evaluation period is agreed with our team in writing. Refunds are handled according to applicable law and your written agreement; contact our team for other refund requests.
4. Acceptable Use
When using the Service, you agree not to:
- Break any applicable law or regulation
- Infringe anyone else’s intellectual property or other rights
- Upload content containing viruses, malware, or other harmful code
- Attempt to gain unauthorized access to any part of the Service or related systems
- Reverse engineer, decompile, or disassemble the Service
- Use automated tools such as scrapers or bots to access the Service at scale
- Resell, sublicense, or otherwise make the Service available to third parties
- Interfere with or disrupt the normal operation of the Service
5. Your Content and Data
5.1 Data Ownership
You own all the data you upload to the Service—purchase orders, quotes, invoices, vendor records, and everything else. We make no claim to your business data.
5.2 License to Process
You grant us a limited, non-exclusive right to process your data, solely as needed to deliver and improve the Service.
5.3 Data Export
Export features vary by screen and record type; verify the exports you need during your trial. Cancellation or expiry does not automatically delete the workspace, but access may be limited by subscription status. Contact our team if you need to export or delete data after access ends.
6. Intellectual Property
The Service and everything in it—including the software, design, trademarks, text, and images—belongs to MaterialPro Technology Limited or its licensors and is protected by copyright and other intellectual property laws. We grant you no rights beyond those expressly set out in these Terms.
7. Availability and Changes
- We work hard to keep the Service stable and reliable, but we can’t guarantee it will be uninterrupted or completely error-free.
- We may run maintenance, updates, or upgrades from time to time, which can briefly take the Service offline. We’ll do our best to give advance notice of planned maintenance.
- We may modify, suspend, or discontinue the Service (or any part of it) at any time, and we’ll give advance notice where reasonably practicable.
8. Disclaimers
To the fullest extent permitted by law:
- The Service is provided “as is” and “as available,” with no warranties of any kind, express or implied.
- We don’t warrant that the Service will meet all your requirements, or that it will run uninterrupted, timely, secure, or error-free.
- Any information or advice you obtain through the Service creates no warranty not expressly stated in these Terms.
9. Limitation of Liability
To the fullest extent permitted by law, MaterialPro Technology Limited and its directors, employees, partners, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages—including lost profits, lost data, loss of goodwill, or business interruption—whether or not we were advised such damages were possible. In any case, our total liability will not exceed the fees you paid us in the 12 months before the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless MaterialPro Technology Limited and its affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any applicable law, or your infringement of a third party’s rights.
11. Termination
- An authorized user can cancel a self-serve subscription through the Stripe portal in billing settings, effective at the end of the current billing period. Sales-managed subscriptions are canceled through our team under the written agreement.
- We may suspend or terminate your account immediately if you breach these Terms.
- Once your account ends, your right to use the Service stops immediately. We’ll provide a reasonable window to export your data.
12. Governing Law and Disputes
These Terms are governed by and construed under the laws of the Hong Kong Special Administrative Region. For any dispute arising from these Terms, the parties will first try to resolve it through good-faith negotiation. If that fails, the dispute will be referred to the Hong Kong International Arbitration Centre and settled under its arbitration rules then in force.
13. Changes to These Terms
We may update these Terms from time to time. The revised version will be posted on this page with an updated “Last updated” date. For significant changes, we’ll notify you by email or an in-app notice. Continuing to use the Service means you accept the updated Terms.
14. General
- If any provision of these Terms is found invalid or unenforceable, the remaining provisions stay in effect.
- Our failure to exercise or enforce any right or provision is not a waiver of that right or provision.
- These Terms are the entire agreement between you and MaterialPro Technology Limited regarding your use of the Service, and they supersede any prior agreements.
